Terms & Conditions
Effective Date: July 29, 2026
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Mukonii LLC, doing business as Mukonii (“Platform,” “Company,” “we,” “us,” or “our”).
These Terms govern your access to and use of:
our mobile applications, if applicable;
artist profiles and electronic press kits;
booking and marketplace services;
subscription services;
messaging, reviews, and communication tools;
payment-related services;
content submission and hosting features; and
any other products or services that link to these Terms.
By creating an account, purchasing a subscription, submitting a booking request, accepting a booking, uploading content, clicking a button indicating acceptance, or otherwise using Mukonii, you acknowledge that you have read, understood, and agreed to these Terms.
Do not access or use Mukonii if you do not agree to these Terms.
1. Platform Role
Mukonii provides technology that allows artists, entertainers, producers, DJs, musicians, creative professionals, vendors, and related service providers (“Providers”) to create profiles, display their work, promote their services, receive opportunities, communicate with prospective customers, and accept booking requests.
Individuals, businesses, event organizers, campaign representatives, nonprofit organizations, brands, agencies, and other customers (“Customers”) may use Mukonii to discover, evaluate, communicate with, and potentially book Providers.
Unless expressly stated in a separate written agreement, the Company:
is not the employer, manager, agent, record label, publisher, attorney, insurer, partner, or joint venturer of any user;
does not employ Providers;
is not automatically a party to an agreement between a Customer and Provider;
does not control the manner in which a Provider performs services;
does not guarantee that a Provider or Customer will complete a transaction;
does not guarantee the quality, legality, safety, suitability, or success of any booking or service; and
does not guarantee employment, bookings, revenue, streams, exposure, sponsorships, placements, or career results.
The Company may offer optional managed services, representation, promotional campaigns, publishing administration, payment collection, booking coordination, or similar services under separate written terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, offer services, submit a booking, or make a payment through Mukonii.
By using Mukonii, you represent and warrant that:
you are at least 18 years old;
the information you submit is accurate;
you have authority to enter into these Terms;
your use of Mukonii does not violate another agreement;
you are not prohibited from using Mukonii under applicable law; and
you will comply with all laws, regulations, permits, licenses, and professional requirements applicable to your activities.
Mukonii is not directed to children under 13, and children under 13 may not create accounts or submit personal information through Mukonii.
3. User Accounts
Certain Platform features may require an account.
You agree to:
provide truthful, current, and complete information;
maintain accurate account and payment information;
protect your username, password, and login credentials;
prevent unauthorized use of your account;
promptly notify us of suspected unauthorized access; and
accept responsibility for activity conducted through your account.
You may not:
create an account using another person’s identity without permission;
impersonate another person, company, artist, or organization;
sell, rent, transfer, or share your account;
create accounts to evade suspension or termination;
use automated methods to create accounts; or
misrepresent your age, qualifications, audience, statistics, ownership, experience, or affiliations.
We may require identity, business, ownership, or payment verification. Verification does not constitute an endorsement or guarantee by the Company.
4. Provider Profiles and Electronic Press Kits
Providers may be permitted to create profiles, portfolios, listings, electronic press kits, media pages, booking pages, or service descriptions.
Providers are responsible for ensuring that all information displayed through their profiles is accurate and not misleading, including:
professional names;
biographies;
photographs;
videos;
music and recordings;
performance footage;
audience statistics;
streaming statistics;
prior clients;
pricing;
availability;
service descriptions;
credentials;
press coverage;
brand affiliations;
contact details; and
booking requirements.
Providers may not falsely claim awards, credits, affiliations, audience numbers, chart positions, certifications, ownership rights, or previous clients.
The Company may format, resize, organize, categorize, or display submitted information to operate and promote Mukonii. We are not responsible for inaccurate information supplied by a Provider or another third party.
5. Marketplace Listings
Providers may list performances, appearances, creative services, advertising opportunities, promotional services, production services, consulting services, or other authorized offerings.
Each listing must clearly describe, when applicable:
the services included;
the price or pricing method;
required deposits;
estimated delivery or performance dates;
location requirements;
travel expectations;
technical requirements;
revision limits;
cancellation terms;
intellectual-property terms;
usage rights;
additional expenses; and
material exclusions.
The Company may reject, remove, edit, recategorize, or suspend listings that are incomplete, misleading, unlawful, inappropriate, or inconsistent with Platform policies.
6. Booking Requests
A booking request is not confirmed merely because it has been submitted.
A booking becomes confirmed only when:
the Provider accepts the request;
any required agreement is completed;
the required deposit or payment is successfully processed; and
the Customer receives confirmation through Mukonii or from an authorized Company representative.
Booking details may include:
event date and time;
venue or location;
service description;
performance length;
arrival time;
compensation;
deposit;
travel;
lodging;
equipment;
production requirements;
promotional obligations;
content rights;
cancellation terms; and
special conditions.
Customers and Providers are responsible for reviewing all booking details before acceptance.
7. Direct Agreements Between Users
A Customer and Provider may be required to enter into a separate performance agreement, service agreement, appearance release, licensing agreement, production agreement, or other contract.
Unless the Company signs that agreement as a party, the separate agreement is solely between the Customer and Provider.
Users are responsible for establishing terms relating to:
scope of work;
compensation;
deposits;
performance obligations;
deliverables;
deadlines;
travel;
equipment;
safety;
insurance;
intellectual-property ownership;
recording permissions;
publicity rights;
cancellation;
refunds;
force majeure; and
dispute resolution.
If a separate written agreement conflicts with these Terms, these Terms will continue to govern the user’s access to and use of Mukonii. The separate agreement will govern the transaction between the Customer and Provider to the extent the Company is not a party.
8. Payments
Mukonii may allow Customers to pay Providers through a third-party payment processor.
By submitting payment information, you authorize the Company and its payment processor to charge the applicable amounts, including:
booking fees;
deposits;
subscription fees;
service fees;
commissions;
processing fees;
taxes;
cancellation charges;
damages authorized under a separate agreement; and
other disclosed charges.
Payment processing may be subject to the payment processor’s own terms and privacy policy.
The Company does not directly store complete payment-card information unless expressly stated otherwise.
Payments may be delayed, withheld, reversed, or canceled when reasonably necessary to:
investigate fraud;
address a chargeback;
comply with law;
verify identity;
resolve a dispute;
correct an error;
satisfy a refund obligation;
respond to suspected unauthorized activity; or
enforce these Terms.
9. Platform Fees and Commissions
The Company may charge fees for use of Mukonii, including:
monthly or annual subscriptions;
profile or listing fees;
booking commissions;
transaction fees;
payment-processing fees;
administrative fees;
promotional fees;
lead-generation fees;
cancellation fees; or
premium-service fees.
Current fees will be disclosed on Mukonii, during checkout, in a Provider agreement, or in another written notice.
Unless otherwise stated:
fees are quoted in U.S. dollars;
fees do not include applicable taxes;
earned Platform fees are nonrefundable;
payment-processing fees may be nonrefundable; and
the Company may deduct amounts owed from payments otherwise payable to a Provider.
We may modify our fees prospectively by providing notice through Mukonii, by email, or during renewal.
10. Subscriptions and Automatic Renewal
Certain features may require a paid subscription.
By purchasing a recurring subscription, you authorize the Company or its payment processor to charge the applicable subscription fee at each billing interval until canceled.
Unless otherwise disclosed:
subscriptions automatically renew;
charges occur using the payment method on file;
cancellation prevents future renewals but does not retroactively refund prior charges;
partial billing periods are not prorated;
unused features, impressions, opportunities, or profile access are not refundable; and
promotional or introductory pricing may convert to the standard rate after the promotional period.

Cancellation must be completed before the next renewal date to avoid the next recurring charge.
The Company may suspend access when a payment fails. You remain responsible for unpaid amounts incurred before suspension or cancellation.
11. Deposits, Cancellations, and Refunds
The cancellation and refund terms displayed during the booking process or included in the applicable booking agreement will control the transaction.
Unless different terms are presented:
Customer Cancellation
If a Customer cancels:
Platform fees and processing fees are nonrefundable;
the Provider may retain the deposit;
additional cancellation charges may apply based on the timing of cancellation; and
amounts already paid for completed work are nonrefundable.
Provider Cancellation
If a Provider cancels without an authorized reason:
the Customer may receive a refund of amounts paid for unperformed services;
the Provider may be responsible for applicable fees, replacement costs, or damages stated in the booking agreement;
the Provider’s account may be restricted; and
repeated cancellations may result in removal from Mukonii.
No Refund for Dissatisfaction Alone
Subjective dissatisfaction does not automatically create a right to a refund when the Provider substantially performed the agreed services.
Platform Credits
The Company may offer a Platform credit instead of a cash refund when permitted by law and agreed to by the affected user.
Nothing in this section limits a consumer right that cannot legally be waived.
12. Chargebacks and Payment Disputes
Before initiating a chargeback, users should contact contact@mukonii.com and attempt to resolve the issue through Mukonii.
A fraudulent, abusive, or bad-faith chargeback may result in:
account suspension;
termination;
collection activity;
recovery of chargeback fees;
withholding of Provider payments; and
legal action.
Providers must reasonably assist with payment disputes by providing agreements, communications, invoices, proof of delivery, event documentation, or other relevant records.
13. Taxes
Users are responsible for determining and paying taxes associated with their activity, income, bookings, sales, services, merchandise, royalties, and other transactions.
Providers are independent businesses or individuals and are responsible for:
income taxes;
self-employment taxes;
sales and use taxes;
franchise taxes;
payroll obligations;
permits;
licenses; and
required tax reporting.
The Company may collect tax information, issue tax forms, withhold amounts, or report transactions when required by law.
14. Independent Contractor Relationship
Providers use Mukonii as independent contractors or independent businesses.
Nothing in these Terms creates an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship between a Provider and the Company.
Providers control, subject to their agreements with Customers:
whether to accept opportunities;
their schedule;
their pricing;
their performance methods;
their equipment;
their personnel;
their business expenses; and
the manner in which services are delivered.
Providers are not entitled to employee benefits from the Company, including wages, overtime, unemployment benefits, workers’ compensation benefits, retirement benefits, health insurance, or paid leave.
Providers may not represent that they are employees or authorized agents of the Company.
15. Safety, Venues, and Event Conditions
Customers are responsible for providing a reasonably safe, lawful, and accessible environment for booked services.
Customers must disclose material conditions, including:
expected attendance;
age restrictions;
security concerns;
outdoor conditions;
stage conditions;
sound limitations;
alcohol service;
hazardous activities;
filming or recording;
venue restrictions;
accessibility issues; and
special permits.
Providers may refuse to perform or may stop performing if they reasonably believe conditions are dangerous, unlawful, materially different from the agreed conditions, or threatening to people or property.
Users are responsible for emergency procedures, security, crowd management, permits, venue compliance, and event insurance when applicable.
The Company does not supervise events and is not responsible for injuries, property damage, misconduct, venue conditions, or incidents arising from a booking except to the extent caused by the Company’s own legally actionable conduct.
16. Insurance and Background Checks
The Company may recommend or require certain Providers or Customers to maintain insurance, permits, licenses, certifications, or background checks.
Unless expressly stated, the Company does not guarantee that any user:
has been background checked;
has insurance;
holds a professional license;
has a clean criminal history;
is financially responsible; or
is suitable for a particular event or audience.
Users should perform their own due diligence before entering a transaction.
A verification badge, account review, or identity check does not constitute a guarantee of conduct, quality, safety, or reliability.
17. User Content
“User Content” means any information or material submitted, uploaded, posted, transmitted, displayed, or otherwise made available through Mukonii, including:
names;
biographies;
photographs;
artwork;
logos;
music;
sound recordings;
compositions;
videos;
performances;
testimonials;
reviews;
comments;
messages;
event information;
pricing;
statistics;
links; and
promotional materials.
You retain ownership of your User Content, subject to the license granted below.
You represent and warrant that:
you own the User Content or have all necessary permissions;
your User Content does not infringe copyrights, trademarks, publicity rights, privacy rights, contractual rights, or other rights;
you have permission from each identifiable person appearing in the User Content;
you have cleared all samples, beats, photographs, footage, artwork, and third-party materials;
your submission does not violate any agreement with a label, publisher, distributor, manager, producer, photographer, videographer, or other party; and
your User Content is accurate and lawful.
18. License to the Company
By submitting User Content, you grant the Company a nonexclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, format, adapt, resize, display, communicate, distribute, and technically process the User Content as reasonably necessary to:
operate Mukonii;
display your profile or listing;
promote your availability;
facilitate bookings;
provide search results;
create previews or thumbnails;
maintain backups;
improve Platform functionality;
prevent fraud or abuse; and
market Mukonii and your publicly available profile.
This license does not transfer ownership of your User Content to the Company.
The Company will not knowingly license your music for films, television programs, advertisements, video games, or other third-party commercial productions unless authorized through a separate agreement or opt-in process.
You may remove User Content through available account tools, but archived, cached, backup, transaction, compliance, and evidentiary copies may remain for a reasonable period.
19. Music, Publishing, and Recording Rights
Uploading music to Mukonii does not automatically transfer ownership of:
master recordings;
musical compositions;
publishing rights;
writer’s shares;
neighboring rights;
performance rights;
mechanical rights;
synchronization rights; or
royalties.
Unless a separate written agreement states otherwise, Providers retain the rights they own in their music.
Providers are solely responsible for:
identifying co-writers and co-owners;
obtaining producer and featured-artist agreements;
obtaining sample clearances;
registering works with applicable organizations;
providing accurate ownership and split information;
securing mechanical licenses;
securing synchronization permissions;
complying with distributor and label agreements; and
paying collaborators and rights holders.
The Company may require split sheets, licenses, releases, registrations, or ownership documentation before accepting music for publishing administration, synchronization pitching, advertising, distribution, or monetization.
20. Customer-Provided Content and Brand Materials
Customers may provide logos, slogans, scripts, products, campaign materials, brand guidelines, images, music, or other materials for a Provider to use.
Customers represent that they have authority to provide those materials and authorize their use for the applicable project.
Customers will be responsible for claims arising from Customer-supplied materials, instructions, claims, trademarks, or content, except to the extent a Provider or the Company uses them outside the authorized scope.
21. Reviews and Ratings
Users may be permitted to submit reviews, ratings, comments, testimonials, or feedback.
Reviews must reflect genuine experiences and may not contain:
false statements;
threats;
harassment;
discrimination;
private information;
extortion;
impersonation;
spam;
undisclosed paid endorsements;
irrelevant commercial promotion; or
content prohibited by law.
The Company may moderate or remove reviews but is not required to verify every statement.
Users may not condition payment, refunds, or services on submitting or removing a review.
The Company may identify incentivized, sponsored, or otherwise compensated testimonials where appropriate.
22. Communications Between Users
Mukonii may provide messaging, email, form submissions, or other communication tools.
Users may use these tools only for legitimate Platform-related purposes.
Users may not:
send spam;
send any pornography of any kind
distribute malware;
solicit unlawful transactions;
harass another user;
collect data without permission;
send deceptive promotional messages; or
use contact information in violation of applicable law.
The Company may review communications when reasonably necessary to investigate safety concerns, fraud, abuse, payment disputes, technical problems, or violations of these Terms, subject to applicable law and our Privacy Policy.
23. Non-Circumvention
Mukonii may invest resources in introducing Customers and Providers.
Where permitted by law, users may not use Platform information to intentionally avoid disclosed Platform fees for a transaction originating through Mukonii.
For [12] months after an introduction through Mukonii, the Company may require applicable fees for substantially related bookings between the introduced Customer and Provider.
This restriction does not apply when:
the parties had a documented preexisting business relationship;
the Company provided written permission;
Mukonii’s applicable service terms expressly allow off-platform transactions; or
enforcement would be prohibited by law.
24. Prohibited Conduct
You may not use Mukonii to:
violate any law or regulation;
infringe intellectual-property rights;
upload unauthorized music or media;
commit fraud or misrepresentation;
impersonate another person or business;
facilitate violence, exploitation, trafficking, or abuse;
promote illegal drugs or unlawful weapons;
discriminate unlawfully;
harass, threaten, stalk, or intimidate others;
publish private or confidential information;
manipulate reviews, votes, rankings, or statistics;
purchase fake engagement or misrepresent audience data;
scrape or harvest Platform data without permission;
interfere with Platform security;
upload viruses, malware, or harmful code;
reverse engineer protected portions of Mukonii;
overload or disrupt Platform infrastructure;
evade fees;
conduct fraudulent chargebacks;
create unauthorized derivative databases;
use bots to access restricted features; or
assist another person in prohibited conduct.
25. Platform Intellectual Property
Mukonii and its original components are owned by or licensed to the Company, including:
software;
website design;
databases;
search systems;
scoring systems;
brand-archetype systems;
graphics;
text;
logos;
trademarks;
service marks;
trade dress;
proprietary processes;
templates; and
Platform-generated content.
Subject to these Terms, the Company grants you a limited, revocable, nonexclusive, nontransferable license to access and use Mukonii for its intended purpose.
You may not reproduce, sell, license, copy, modify, distribute, or commercially exploit Company intellectual property without written permission.
26. Copyright Complaints and DMCA Process
The Company respects intellectual-property rights.
A copyright owner or authorized representative who believes content on Mukonii infringes a copyright may submit a written notice containing the information required by applicable copyright law.

A valid notice should include:
identification of the copyrighted work;
identification and location of the allegedly infringing material;
the complaining party’s contact information;
a good-faith statement that the disputed use is unauthorized;
a statement, under penalty of perjury, that the notice is accurate and the complaining party is authorized to act; and
a physical or electronic signature.
The Company may remove or disable access to allegedly infringing content and notify the affected user.
A user may submit a counter-notification when permitted by law.
The Company may terminate accounts belonging to repeat infringers in appropriate circumstances.
27. Third-Party Services and Links
Mukonii may integrate with or link to third-party services, including:
payment processors;
social networks;
streaming platforms;
ticketing providers;
analytics services;
video hosts;
mapping providers;
calendar services;
email providers; and
merchandise or fulfillment providers.
The Company does not control and is not responsible for third-party services, policies, availability, security, content, fees, or conduct.
Your use of third-party services may be governed by separate terms.
28. Privacy
Our collection and use of personal information are described in our Privacy Policy, available at https://www.mukonii.com/terms-conditions-privacy-policy
You agree that the Company may process information as reasonably necessary to:
create and maintain accounts;
facilitate bookings;
process payments;
prevent fraud;
provide customer support;
communicate with users;
improve Mukonii;
comply with legal obligations; and
enforce these Terms.
The Privacy Policy is incorporated into these Terms by reference.
29. Electronic Communications and Consent
You consent to receive agreements, notices, disclosures, booking confirmations, payment receipts, policy updates, and other communications electronically.
Electronic communications may be delivered through:
email;
account notifications;
Platform messages;
text messages, when separately authorized; or
postings on Mukonii.
You are responsible for maintaining a current email address and retaining copies of important communications.
Your electronic acceptance of these Terms has the same effect as a physical signature to the extent permitted by law.
30. Text Messages and Marketing
When you separately opt in to text messages, you authorize the Company to send messages to the telephone number provided.
Message frequency may vary. Message and data rates may apply.
Consent to marketing text messages is not a condition of purchasing services unless expressly permitted by law.
You may opt out by following the instructions in the message or contacting us.
Email recipients may unsubscribe from promotional emails using the unsubscribe link. Transactional, security, legal, and account-related messages may continue while your account remains active.
31. Suspension and Termination
The Company may investigate suspected violations and may restrict, suspend, or terminate an account when reasonably necessary to:
protect users;
prevent fraud;
respond to legal process;
address nonpayment;
enforce these Terms;
protect intellectual property;
preserve Platform security; or
reduce legal or reputational risk.
Where appropriate, we may provide notice and an opportunity to respond. Immediate action may be taken when the Company reasonably believes there is fraud, danger, unlawful activity, security risk, or serious misconduct.
Users may terminate their accounts through available settings or by contacting contact@mukonii.com
Termination does not eliminate obligations that arose before termination, including payment, indemnification, intellectual-property, dispute-resolution, and recordkeeping obligations.
32. Platform Availability and Modifications
We may modify, suspend, discontinue, test, or restrict any Platform feature.
We do not guarantee that:
Mukonii will always be available;
every feature will remain available;
data will never be lost;
errors will always be corrected;
every booking request will be delivered;
every message will reach its intended recipient; or
Mukonii will be compatible with every device or service.
Users are responsible for maintaining independent copies of important content, agreements, payment records, and booking information.
33. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Mukonii IS PROVIDED “AS IS” AND “AS AVAILABLE.”
THE COMPANY DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
RELIABILITY;
AVAILABILITY;
SECURITY; AND
RESULTS.
THE COMPANY DOES NOT WARRANT THAT:
A USER IS WHO THEY CLAIM TO BE;
A PROVIDER WILL PERFORM AS EXPECTED;
A CUSTOMER WILL PAY OR BEHAVE APPROPRIATELY;
A BOOKING WILL BE SUCCESSFUL;
USER CONTENT IS ACCURATE OR AUTHORIZED;
Mukonii WILL GENERATE REVENUE, EXPOSURE, EMPLOYMENT, STREAMS, SALES, OR BOOKINGS; OR
Mukonii WILL BE UNINTERRUPTED OR ERROR-FREE.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.
34. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
LOST PROFITS;
LOST REVENUE;
LOST OPPORTUNITIES;
LOST DATA;
REPUTATIONAL HARM;
BUSINESS INTERRUPTION;
PERSONAL INJURY CAUSED BY ANOTHER USER;
PROPERTY DAMAGE CAUSED BY ANOTHER USER; OR
DAMAGES ARISING FROM A BOOKING BETWEEN USERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY ARISING FROM OR RELATING TO Mukonii OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID DIRECTLY TO THE COMPANY DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
$100.
This limitation does not apply to liability that cannot legally be limited.
35. Release Regarding User Transactions
To the extent permitted by law, you release the Company from claims arising primarily from:
another user’s conduct;
a Provider’s performance;
a Customer’s event;
a user’s failure to pay;
venue conditions;
unauthorized user content;
disputes between Customers and Providers; or
representations made by another user.
This release does not waive claims based on the Company’s own conduct where such waiver would be prohibited by law.
36. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its owners, officers, employees, contractors, affiliates, and representatives from claims, damages, judgments, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising from:
your use of Mukonii;
your User Content;
your services or event;
your violation of these Terms;
your violation of law;
your infringement of another person’s rights;
your tax obligations;
your dispute with another user;
personal injury or property damage caused by you; or
inaccurate or unauthorized information you provide.
The Company may control the defense of a covered claim, and you agree to reasonably cooperate.
37. Informal Dispute Resolution
Before filing a lawsuit or arbitration demand, the complaining party must send a written notice describing:
the party’s name and contact information;
the relevant account;
the facts of the dispute;
the amount at issue;
supporting documents; and
the requested resolution.

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice.
38. Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small-claims court and claims seeking temporary or preliminary injunctive relief relating to intellectual property, unauthorized access, or Platform security, disputes arising from these Terms or Mukonii will be resolved through binding individual arbitration.
The arbitration will take place in Dallas County, Texas, remotely, or at another mutually agreed location.
The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision.
The arbitrator may award the same individual remedies available in court, subject to these Terms and applicable law.
No Class Proceedings
Disputes must be brought individually.
Neither party may participate as a plaintiff or class member in a class action, collective action, consolidated action, mass arbitration, private-attorney-general action, or representative proceeding to the extent permitted by law.
Jury-Trial Waiver
To the extent a dispute proceeds in court rather than arbitration, each party waives the right to a jury trial to the extent permitted by law.
39. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where federal law controls.
For disputes not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Dallas, Texas.
Nothing in these Terms prevents either party from bringing an eligible claim in small-claims court.
40. Changes to These Terms
We may update these Terms to reflect changes in:
Platform features;
payment practices;
business operations;
legal requirements;
security practices; or
user protections.
We will provide notice of material changes through Mukonii, by email, or by updating the effective date.
Unless a different date is stated, revised Terms become effective when posted.
Where required by law, we will request renewed consent.
Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using Mukonii.
41. Assignment
You may not assign or transfer these Terms or your account without the Company’s prior written permission.
The Company may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or transfer of Platform operations.
42. Force Majeure
Neither the Company nor a user will be responsible for delay or failure caused by circumstances beyond reasonable control, including:
severe weather;
natural disasters;
fire;
flood;
epidemic or pandemic;
war;
terrorism;
civil unrest;
labor interruption;
government action;
venue closure;
utility failure;
transportation interruption;
internet outage; or
failure of an essential third-party service.
Payment obligations for services already delivered are not excused by this section.
Specific booking agreements may contain additional force-majeure provisions.
43. Severability
If a provision of these Terms is held unlawful or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
44. No Waiver
A failure to enforce a provision is not a waiver of the right to enforce that provision later.
A waiver is effective only if made in writing by an authorized Company representative.
45. Entire Agreement
These Terms, the Privacy Policy, applicable booking terms, subscription terms, payment terms, and any additional policies incorporated by reference constitute the entire agreement between you and the Company regarding use of Mukonii.
Separate signed agreements may govern particular services.
